Notes to Directors’   Estimated Statement of Affairs

          1 Cash in hand represents funds held by the liquidator on behalf of the Company

          2 This represents the total of the balances held in the Company's bank accounts as at 8 April 2015 It 1s possible that
            there has been movement on the accounts since that date but this is the most recent information available to the
            Orrectors

          3 The book value of the tangible assets 1s the value shown in the accounts as at 30 September 2013 less a provision
            for depreciation The estimated to realise sum Is in accordance with the professional valuation provided by Centaur
            Chartered Surveyors Valuers & Auctioneers, Centaur House, 51 Uckfield Road, Enfield, Middlesex EN3 6AS The
            estimated to realise figure represents the “ex situ” valuation

          4 This ts the value of the shares held by the Company

          5 Employee claims are anticipated but the quantum 1s not known at this time

          6 Section 176A (1)(a) requires liquidators to set aside the prescnbed part of the Company's net property for
            the satisfaction of unsecured debts "Net property" means the amount whih would, if it were not for this
            amount which would, if it were not for this provision, be available to floating charge holders (1 e after accounting
            for preferential debts and the costs of realisation) and if the floating charge was created on or after
            created on or after 15 September 2003 The "prescribed part" 1s 50% of the first £10,000 and 20% of the
            remaining net property (up to a maximum of £600,000)

            The liquidator will not be required to set aside the prescribed part if

            a             The net property 1s less than £10,000 and he thinks that the cost of distributing the
                          prescnbed part would be disproportionate to the benefit, or

            b             If the net property is more than £10,000, if the provision Is disapplied by the Court on
                          the application of the liquidator on cost-benefits grounds


            {f the floating charge was created before 15 September 2003 there 1s no net property and,        consequently, no
            prescribed part of net property


            There are no charges registered against the Company so S176A(1)(a) does not apply in this instance

          7 See attached schedule This includes tour operators who will receive payment under the ABTA bond held by the
            Company The bond provider will then have a subrogated claim in the liquidation

          8 This is the   amount due to HM Revenue & Customs in respect of PAYE/NIC for March 2015


          9 This is the   amount due to HM Revenue & Customs in respect of VAT for the final 3 months of trading
