         NOTES TO THE DIRECTOR'S STATEMENT OF AFFAIRS


COSTS

The directors Statement of Affairs does not include a provision for the costs associated
with its preparation convening of the meeting of creditors and agreeing the creditors
claims or for agents fees and professional costs associated with realising the company's
assets


MOTOR VEHICLES

The figure in respect of the motor vehicles has been uplifted from the latest set of
accounts The two company motor vehicles have been inspected and professionally
valued by Eddisons Commercial Ltd There 1s a third motor vehicle, however, this 1s
held on a contract hire agreement with Bangue PSA Finance, and therefore it 1s not
beheved that the company has a financial interest in this vehicle

OFFICE EQUIPMENT

The figure for the office equipment has been uplifted from the latest set of accounts The
company had a small amount of computer and office related equipment, which has been
inspected and professionally valued by Eddisons Commercial Ltd

STOCK

The stock figure has been uplifted from the latest set of accounts, although this would
have changed whilst trading continued The stock has been inspected and professionally
valued by Eddisons Commercial Limited, but 1s considered to have negligible value

BOOK DEBTS

The directors have advised that the majority of the outstanding book debts should be
collectable

EMPLOYEES

There are outstanding monues due in respect of arrears in wages and holiday pay, which
forms the preferential element of their claim

As the majority of the employees have worked for the Company over two years, they are
also entitled to monies in respect of Redundancy Pay and Payment In Lieu of Notice
This forms the unsecured element of their claim

NATIONAL      WESTMINSTER        BANK   PLC


National Westminster Bank Plc hold two fixed and floating charges over the Company’s
assets, registered on 27 November 2001 and 1 February 2002 The amount outstanding
relates to the overdrawn balance of t! 4 co     ’s bank account
      PRESCRIBED      PART OF NET PROPERTY

      The floating charges registered against the Company were created prior to 15 September
      2003    Therefore, the Provisions of Section 176A of the Insolvency Act 1986, where a
      proportion of realisations can be set aside for the benefit of the unsecured creditors, from
      funds that would normally be paid to the floating charge holders, would not apply

      TRADE     & EXPENSE CREDITORS

      These amounts which include V A T where appropriate, have been extracted from the
      company’s records and therefore must not be regarded as agreed amounts
