4 NOTES TO THE ESTIMATED STATEMENT OF AFFAIRS AS AT 26 MAY

Assets
4.1 Assets subject to Fixed Charge
The company entered into an Invoice Financing Agreement with RBS Invoice
Finance Limited (“RBS”) ”) on 27 November 2012 and granted them a debenture
in support thereof, which was registered at Companies House on 1 December
2012, and incorporated fixed and floating charges over the assets of the
company.
RBS has confirmed that the invoice financing account has a current outstanding
balance of £283,648 10 The total value of the outstanding book debts subject to
the agreement for collection is circa £434,000
It 1s anticipated that any surplus may be subject to termination charges Any
credit balances will be offset The above figure does not take into account
possible disputes, write offs etc For the sake of prudence therefore a provision
of 25% has been made against anticipated realisations It ts however still
anticipated that a surplus will arise
4.2 Assets subject to a Legal Charge
The company granted a Legal Charge to the landlord of its trading premises,
Hillgate Industrial Estates Limited, on 20 November 2012, which was registered
at Companies House on 28 November 2012 securing all monies due or to
become due from the Company.
The charged assets comprised a 2003 Heidelberg CD102-5L, serial number
545605 and a 1998 Heidelberg CD102-6, serial number 540594
The Director believes however that there are no assets over which this charge
could attach as the aforesaid assets were sold with the fandiord’s consent. The
Director ts uncertain as to whether any other secunty was substituted for the
same ‘
The landlord has provided a rent account record which shows a fiability of
£16,610 71 as at 16 April 2015
4.3 Assets subject to Hire Purchase Agreement
The company owned various plant and machinery which was purchased with the
assistance of a hire purchase agreement with Close Brothers Limited (“Close”)
in accordance with clause 6 of the agreement, Close exercised their right to
automatic termination upon receipt of notification that the company had
convened meetings with a view to placing the company into liquidation

Close advised that there was an outstanding balance of £394,754 90 under the
- terminated however arrangements were already in place to sell the assets to a
third party for a sum of £450,000 00 plus VAT Consequently the balance of circa
£55,245 Is being held by Close in a suspense account pending liquidation
4.4 Assets subject to Floating Charge
Adam Costigan, who is qualified by experience, of Realise Solutions (UK) Limited
was instructed to provide an inventory and valuation of the company’s assets
He estimated that the remaining assets of the company which compnise fixtures
and fittings, office and computer equipment, and stock held an approximate value
of £7,750 It is however noted that three creditors are claiming retention of title
over some of these assets It 1s also anticipated that further retention of title
claims may be received
For the sake of prudence, a provision of 50% has been made against anticipated
realisations in this regard
N.B. The Company leased four Volkswagen motor vehicles from Allease and a forklift
truck from Aldermore Bank ple
These are not therefore reflected in the Statement of Affairs as the motor
vehicles and forklift truck are not a Company asset Arrangements have already
been made for the motor vehicles and forklift truck to be returned to the
appropriate companies
Any outstanding payments due to Allease and/or Aldermore Bank pic under the
terms of their agreements will form a claim in the liquidation estate
Creditors
45 Preferential Creditors
It ig estimated that there will be claims from thirty two employees for outstanding
wages and holiday pay The claims in these regards wi!l constitute preferential
claims
Insufficient information 1s available to enable the full extent of the employee
claims to be accurately assessed It 1s therefore anticipated that the figure shown
in the Statement of Affairs will increase
4.6 Prescribed Part
This represents the amount of the net property available for the satisfaction of
unsecured debts in accordance with S176A(2) of the Insolvency Act 1986 (as
amended)

The value of the prescribed part ts estimated to be nil as It is anticipated that the
company’s property will be free from any charge under the debenture In favour of
RBS Invoice Finance Limited as they are not expected to be owed any monies
once the debtor ledger has been collected in (see note 4 1 above)

4.8 HM Revenue & Customs
The Director estimates that a total of £123,206 73 is owed to HM Revenue &
Customs tn regards to PAYE and NIC for the period to April 2015
The Director advises that a further amount is owed to them in relation to VAT, for
April 2015 however he has been unable to quantify the same
It is not known whether any further monies are owed to HM Revenue & Customs
in respect of Corporation Tax
49 Trade and Expense Creditors
The amounts stated m the statement of affairs have been supplied by the
Director who believes that these creditors have outstanding monies owed to
them The figures detatled in the estimated Statement of Affairs are subject to the
agreement of creditors’ claims Creditors’ amounts include VAT where
applicable
4.10 Director's Loan Account
This represents funds advanced by the Director to the Company
4.11 Employee Claims
This represents the estimated liability in respect of redundancy and pay tn lieu of
notice due to the employees
As indicated in note 45 above, insufficient information has however been
available to enable the full extent of the employee claims to be assessed It !s
therefore anticipated that the figure shown in the Statement of Affairs will
increase
4.12 General
The estimated Statement of Affairs is subject to the Liquidators’ costs and
disbursements and the costs of the agents and solicitors employed by the
Liquidators
The figures detailed in the estimated statement of affairs are subject to the
agreement of creditor claims

is the professional valuer whose services have been employed where referred to
in the Statement of Affairs Other values are based on the Director's opinion
using his knowledge of the specific matters referred to
Unless otherwise stated, all agents instructed are independent and have no
connection to the insolvent party/ (1es), the office holder(s), proposed Liquidators
or Beesley Corporate Solutions
Retention of Title claims have been received from three creditors to date which
are to be dealt with by the duly appointed Liquidator
