WTL INTERNATIONAL LIMITED IN LIQUIDATION
NOTES TO THE ESTIMATED STATEMENT OF AFFAIRS
1. The Statement of Affairs is prepared prior to the application of the costs of Liquidation
and the Administrative Receiver.
Book values have been taken from the Administrative Receiver BDO Stoy Hayward LLP
and the Royal Bank of Scotland Invoice Finance. It does not include the assets sold as part
of the sale agreement with Wood Treatment Limited.
National Westminster Bank Plc created an all assets debenture on 25" August 1983 and
this has been duly registered at Companies House on 2™ September 1983. In addition
three legal charges have been created on 17 July 1990 and they have been duly registered
on 2 August 1990. It will be a matter for the duly appointed liquidators to validate this
security.
Royal Bank of Scotland Invoice Finance created an all assets debenture and an invoice
finance agreement on 14" October 2006 and this has been duly registered at Companies
House on 18" October 2006. It will be a matter for the duly appointed liquidators to
validate this security.
The indebtedness under the invoice financing agreement has now been collected in full
including termination charges and interest. An amount of £457,383 remains outstanding
on the Company’s ledger of which £383,333 is being held on account by Royal Bank of
Scotland Invoice Finance. I have estimated that of the balance of £74,050 only 25% will
be realised for the purpose of the Statement of Affairs. It will be a matter for the duly
appointed liquidators to verify the amount to the Company.
An agreement was made between BDO and Wood Treatment Limited to assist in the
collection of the book debts being that £50,000 would be made payable for recoveries up
to £800k and 25% thereafter with maximum fees of £65k. It will be a matter for the duly
appointed liquidators to validate the agreement with Wood Treatment Limited.
West Register (Investments) Limited created a legal charge on 19 September 2007 and
this has been duly registered at Companies House on 26 September 2007. It will be a
matter for the duly appointed liquidators to validate this security.
The charges registered at Companies House in relation to National Westminster Bank Plc,
The Royal Bank of Scotland and West Investments (Register) Limited have been settled in
full however a nominal amount of £1 each has been estimated in the Company’s estimated
statement of affairs pending confirmation being received. It will be for the duly appointed
liquidators to agree and validate any amounts due under the charges held.

The surplus received from the Administrative Receiver is the balance on their account
afier accounting for the costs and expenses. It will be for the duly appointed liquidators to
review the costs and expenses of the Administrative Receivers.
10. The contract for the sale of the business and certain assets contains an anti embarrassment
clause which terminates after 5 years. It will be a matter for the duly appointed liquidators
to review the contractual terms.
I. No Preferential or non-preferential claims of employees are expected. The employees
were transferred via a Transfer of Undertakings (Protection of Employment) Regulations
(TUPE) to preserve employees’ terms and conditions when a business was purchased by
Wood Treatment Limited. It will be the duty of the duly appointed liquidator to verify
claims if any in due course.
12. Unsecured Creditor claims are stated inclusive of VAT, where applicable. It will be the
duty of the duly appointed liquidator to verify any claims in due course.
13. The amounts shown due to HM Revenue & Customs are in respect of PAYE, NIC and
VAT. It will be the duty of the duly appointed liquidator to verify any claims in due
course.
14. The amount outstanding to bank and institutions represents an outstanding balance in
relation to a Company credit card. It will be the duty of the duly appointed liquidator to
verify any claims in due course.
15. The amount outstanding to the pension scheme is in respect of WTL International
Retirement Benefit Scheme. The debt has arisen under the provisions of S75 of the
Pensions Act 1995. It will be the duty of the duly appointed liquidator to verify any claims
in due course.
