         NOTES TO THE DIRECTOR'S STATEMENT OF AFFAIRS

COSTS

The directors Statement of Affairs does not include a provision for the costs associated
with its preparation convening of the meeting of creditors and agreeing the creditors
claims or for agents fees and professtonal costs associated with realising the company's
assets

BUSINESS EQUIPMENT          AND   OFFICE FURNITURE

The figure for business equipment and office furniture has been uplifted from the latest
set of accounts and has been inspected and professionally valued by Eddisons
Commercial Limited

Sheila Hammond     has submitted an offer of £9,000 (inclusive of VAT) to acquire the
assets of the company, which will be considered further at the creditors meeting The
offer has been recommended for acceptance by Eddisons

GOODWILL,      IPR & TRADING      NAME

This figure represents the knowledge and expertise brought to the company on
incorporation by the company director and shareholders and was not previously
included in the company’s latest accounts The purchase of the goodwill, IPR and
trading name ts included tn the offer from Sheila Hammond

MOTOR     VEHICLE

The figure for the motor vehicle, a Volkswagen Golf Hatchback, has been uplifted from
the latest set of accounts and has been inspected and professionally valued by Eddisons
Commercial Limited The purchase of the motor vehicle 1s included in the offer from
Sheila Hammond

STOCK AND WIP

The book value has been uplifted from the latest set of accounts, although this would
have changed significantly whilst trading continued, and no stock remains


TRADE    DEBTORS

The director has advised that the majority of the outstanding book debts should be
collectable

CASH AT BANK

The company holds two bank accounts with Royal Bank of Scotland Plc, and this figure
represents the total credit balance, which includes debtor receipts since the company
ceased to trade, and the funds correctly held tn the client account of UHY Hacker Young
turnaround and recovery

      EMPLOYEES

      There are outstanding monies due tn respect of holiday pay, which constitutes the
      preferential element of their clam

      As the majority of the employees have worked for the Company over two years, they are
      also entitled to monies in respect of Redundancy Pay and Payment In Lieu of Notice,
      This forms the unsecured element of their claim

      PRESCRIBED PART OF NET PROPERTY

      The floating charges registered against the Company were created prior to 15 September
      2003 Therefore, the Provisions of Section 176A of the Insolvency Act 1986, where a
      proportion of realisations can be set aside for the benefit of the unsecured creditors, from
      funds that would normally be paid to the floating charge holders, would not apply

10.   TRADE & EXPENSE CREDITORS

      These amounts which include V A T where appropriate, have been extracted from the
      company’s records and therefore must not be regarded as agreed amounts

11    H M REVENUE & CUSTOMS - PAYE

      This represents the amount due to H M Revenue & Customs tn respect of PAYE

12    H M REVENUE & CUSTOMS - VAT

      This represents the amount due to H M Revenue & Customs in respect of VAT

13.   DIRECTORS LOAN ACCOUNT

      This represents funds advanced to the company by the director in order to support
      continued trading
